In general, alliances include an executive committee, alliance managers, working groups, and project teams. In practice, executive committees may be found under several names, such as alliance executive council, steering group, or alliance board. 8 As such, the committee is the highest governance body in the alliance. In joint ventures, this committee may include the non-executive members of the board. In countries with a two-tiered board system, the supervisory board of the joint venture will act as the alliance executive committee.

Once partners come to an agreement, the basic choice for the legal structure of an alliance is between a contractual alliance and a joint venture. In the latter case, a separate legal entity is created. The various forms of these legal entities differ across countries. However, the best-known ones are public or limited companies, of which each country has its own version. In these legal structures, partners become shareholders. Other forms that occur under different names in different countries are foundations and cooperatives.

Separating people who “make the deal” from those who have to execute it is, without a doubt, one of the worst and most expensive mistakes made in practice, and one of the most common. Frequently, lawyers, business developers or purchasing managers make the deal and then toss it over the wall to alliance managers, which is the perfect recipe for delay, misunderstanding and contracts that are out of touch with reality.
